An exporter of industrial pumps is considering one proposed distributor for one destination. The distributor requests three years of exclusive territory and proposes an annual purchase target. Both parties and all commercial facts in this example are invented.

The exporter has a presentation and a draft term sheet. The presentation describes experience with comparable products; supporting sales records and direct supplier references have not been obtained. The term sheet gives an annual target without saying whether it means units, value or orders. This is a commercial evidence-gap example, distinct from the valve illustration's unresolved import route.

Illustrative decision: defer the exclusive commitment. Missing evidence does not establish that the distributor is unsuitable or that its claim is false. It means the evidence is insufficient for this commitment. No legal enforceability, import eligibility or country-law conclusion is made here.

Put the commitment next to the evidence

  1. Commitment at stake: one territory for three years. Before deciding, identify the exact territory, product scope and sales channels in the draft.
  2. Evidence held: a distributor presentation and draft term sheet, both illustrative. Neither establishes comparable sales performance.
  3. Missing evidence: dated comparable-product sales records and two direct supplier references; the target's measure, period and proposed consequence if missed.
  4. Action owner: the exporter's commercial lead requests these from the distributor by the decision meeting. The distributor supplies records and reference contacts; the lead checks the references directly.
  5. Closure test: the lead records what the supplied records and direct references establish and their limits. Both parties settle a written target measure and period; the proposed exit and handover terms go to qualified contract review. Each open question closes only when its evidence and review are recorded.

If the material does not arrive, record “not obtained” and keep the exclusive appointment deferred. If it arrives but does not establish comparable sales, record that limit. Receiving a document alone does not meet the closure test. Meeting this test informs a fresh appointment decision; it does not guarantee sales or automatically approve the distributor.

Illustrative evidence gap: presentation held; comparable sales records and direct references not obtained. No specialist review.
Illustrative decision card. Missing evidence stays explicit and has a responsible person.
